These Terms of Use (“Terms”) govern your access to and use of BoardReporter (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
The Service
BoardReporter helps boards schedule meetings, build packets, manage governance records, and turn recordings into draft minutes that a person reviews and approves. The Service supports your board’s secretary and officers; it does not replace their judgment, and no output is official until a human approves it.
Not legal, financial, or professional advice
BoardReporter is a software tool, not a law firm, accountant, or governance advisor. AI-generated drafts, summaries, and suggestions may contain errors and must be independently reviewed for accuracy before they are relied upon or adopted. Nothing in the Service constitutes legal, financial, tax, or other professional advice. You are responsible for your board’s compliance with applicable bylaws, statutes, and recordkeeping requirements.
Accounts and eligibility
- You must provide accurate information and keep your credentials confidential.
- You are responsible for activity that occurs under your account.
- The Service is intended for organizational use by individuals aged 18 or older.
- Notify us promptly of any unauthorized use of your account.
Your content
You and your organization retain all rights to the content you submit (“Your Content”), including documents, recordings, transcripts, and governance records. You grant BoardReporter a limited license to host, process, transcribe, and display Your Content solely to provide and improve the Service for you. You are responsible for having the necessary rights and consents to record meetings and upload content, including any required notice to or consent from meeting participants under applicable law.
Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of others.
- Upload malware or attempt to breach, probe, or disrupt the Service or its security.
- Access data or boards you are not authorized to access.
- Reverse engineer, resell, or misuse the Service except as permitted by these Terms.
Subscriptions, trials, and billing
- Every board receives full access free for the first six months. No credit card is required to start.
- After the trial, continued use of paid features requires a Board Pro subscription at the price shown at checkout, billed monthly or annually per board.
- Subscriptions renew automatically until canceled. You may cancel at any time; access continues through the paid period.
- If you do not upgrade after the trial, your saved records remain viewable; creating new meetings and uploads pauses until you subscribe.
- Payments are processed by Stripe. Except where required by law, fees are non-refundable.
Intellectual property
The Service, including its software, design, and trademarks, is owned by BoardReporter and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you.
Third-party services
The Service relies on third-party providers (for example, hosting, database, email, payment, and AI processing). Your use of those features may be subject to the providers’ terms, and we are not responsible for their acts or omissions.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated drafts will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, BoardReporter will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.
Indemnification
You agree to indemnify and hold BoardReporter harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Upon termination, provisions that by their nature should survive will continue to apply.
Governing law
These Terms are governed by the laws of the United States and the state in which BoardReporter’s operating entity is established, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
Changes to these Terms
We may update these Terms from time to time. Material changes take effect when we post the updated Terms and revise the “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance.
